Provident Capital Partners (“Provident”) is an investment group established in 2004 by Winato Kartono, Hardi Wijaya Liong and Gavin Caudle. Provident is not a fund. Provident typically builds businesses from start-up and continues to control and actively manage the businesses for indefinite periods (no fixed exit timelines).
Provident is involved in industries including digital infrastructure (telecom towers, fiber and data centres), logistics warehouses, mining and downstream processing (copper, gold, nickel and battery materials downstream processing), biomass production and trading and e-commerce. Activities are primarily in Indonesia.
Provident provides extensive support to its investee companies in raising finance (bank loans, other loans, metals prepays, rupiah bonds, dollar bonds and equity). In addition, Provident provides structuring and transaction execution assistance to portfolio companies. The portfolio has now grown and requires significant expansion of the financing/structuring team.
We seek to hire two experienced candidates to join the team. The successful candidates are likely to come from a corporate banking structuring/credit background or a legal or tax background with a focus on transaction execution. Candidates should have strong analytical skills, a good understanding of corporate finance and business development, the ability to thrive in a fast-paced, dynamic environment, and be self-sufficient while being a team-player. You should be very comfortable reading and understanding legal documents and term sheets.
This is a unique position where you will work across multiple product types, mainly in debt and equity market fundraising and corporate structuring and across multiple industry verticals You will partner with key teams within Provident as well as at our portfolio companies.
This role sits within a team primarily based in Jakarta. Travel (primarily to Singapore and China) should be expected.
Typical responsibilities include, among others:
1) Prepare financing term sheets
2) Analyse structuring issues, liaise with internal and external tax and legal advisors and propose commercial solutions
3) Prepare transaction proposals and other presentation materials
4) Review and/or assist in preparation of transaction documents including term sheets, loan agreements, bond prospectuses, ipo prospectuses, SPA, SHA, etc
5) Assist in KYC processes
6) Deal execution including closing deals (often includes dealing with share pledges, Jakarta stock exchange matters and multiple deal participants
7) Conduct Financial analysis, market research, monitor portfolio companies, assist/support/maintain close relationships with portfolio companies/ecosystem partners and other stakeholders
Candidate requirements:
• Graduate with a degree in finance, accounting, business, legal or related fields
• 2 to 6 years experience in corporate finance, buy-side, strategic consulting, professional financial or law firms
• Strong interest in and understanding of the Indonesian market and business environment
• Strong analytical capabilities to process information and understand business models
• Extensive working knowledge of Powerpoint, Excel and Microsoft Word. Financial modelling, valuation analysis and due diligence experience would be advantageous
• Strong operational, organization, coordination, and project management skills
• Strong attention to details and keen sense of ownership and drive
• Excellent communication skills with the ability to interact, liaise and build strong relationships with all levels of management across the business
• Business fluency in English required, knowledge of Bahasa Indonesian and/or Mandarin a plus.
