Legal & Compliance Assistant Manager

What we are looking for:

• Having good analysis issue and use sound judgment, planning organizing, information seeking, orientation to detail, coordination, business process understanding, interpersonal persuasiveness ability.
• English proficiency both oral and written.
• Candidate must possess at least Bachelor's degree or Master's degree/Post Graduate degree in Law or equivalent.
• Having 3-4 year(s) of working experience in the related field with focus on matters related to pharmaceutical / biotechnology industries.

Key Responsibilities:

Drafting and Structuring of Contracts

Evaluate potential contractual arrangements, draft, review and negotiate agreements for M&A, BD&L and Strategic Alliance including, but not limited to confidentiality agreements, consulting agreements, collaboration agreement, research and development agreements, option agreements, asset purchase agreements, share purchase agreements, shareholders agreements, investor agreements, JV agreement.

IP and Legal Diligence

1. Work with CBO, CSO, BD&L colleagues and other KGbio colleagues to ensure licensing and M&A deal evaluations include a thorough IP review: patent issues, trade secrets, trademarks, copyrights, freedom to operate, infringement, validity, and regulatory exclusivity analyses, IP litigation, licensing, reps, warranties, disclosures, university / government grant conflicts etc.
2. Where called upon, undertake additional general legal diligence on deals
3. Provide risk-based assessments of IP and general legal diligence concerns
4. Keep the BD&L team updated of relevant changes to laws, regulations and enforcement activity within the biopharma industry in markets of KGbio interest

Post-Deal Management and Special Projects

1. After definitive deal signing, continue to advise on contract interpretation and IP risks on signed BD&L, M&A projects
2. Provide support on special projects e.g. protection and defense of KGbio’s IP from challenges, setting up legal entities in specific markets for registration purposes, documentation for receiving investments etc
3. Provide legal input and coordination for KGbio’s planned IPO
4. Where requested and on specific issues and concerns, hire and manage external counsel, law firms and specialist vendors (eg compliance diligence or tax structuring)
